Nothing on this Site constitutes a binding offer to provide services. A binding engagement is created only upon mutual execution of a written SOW. We reserve the right to decline any project or engagement at our sole discretion.

4. Intellectual Property

Site Content

All Content on the Site, including but not limited to text, graphics, logos, icons, images, code samples, and software, is the property of the Company or its content suppliers and is protected by applicable intellectual property laws. Unauthorized use, reproduction, modification, or distribution of Site Content is prohibited.

Client Deliverables

Intellectual property ownership for deliverables produced as part of an engagement is governed by the terms of the applicable SOW. Unless otherwise specified in the SOW, we retain ownership of pre-existing materials, tools, frameworks, and methodologies used in the delivery of services, and grant the client a non-exclusive, perpetual license to use any custom deliverables created specifically for the engagement upon full payment.

5. User Obligations

When using our Site or services, you agree to:

• Provide accurate, current, and complete information when submitting inquiries or engaging our services
• Use the Site only for lawful purposes and in compliance with all applicable laws and regulations

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable. If modification is not possible, the provision shall be severed. The remaining provisions shall continue in full force and effect.

14. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

15. Entire Agreement

These Terms, together with our Privacy Policy and any applicable SOW, constitute the entire agreement between you and Xi'an Liyangyuan Information Technology Co., Ltd. regarding the Site and supersede all prior agreements and understandings, whether written or oral, regarding the subject matter.
